What’s your VIP status?

There are two tiers to the VIP club - VIP and VIP elite If you have placed 5 or more orders with a total value between £400 and £649 on one of your customer accounts (after returns), over the last 12 months†, you will qualify as a VIP customer. If you have placed at least 5 orders with a total value or £650 or more on one of your customer accounts (after returns), over the last 12 months†,you will qualify as a VIP Elite customer.

Your VIP membership will last for 12 months, from the 1st May 2016 to 30th 2017.

VIP PRODUCT REVIEW PANEL TERMS & CONDITIONS

1. Membership of the VIP product review panel (“Panel”) is conditional on you agreeing to these terms and conditions (“Panel Terms”). Submission of the Panel application form constitutes acceptance of the Panel Terms. 2. The selected Panel will be representative of our customers (in terms of sizes and ages) and will be used by us to gather product feedback and improve our products. 3. If you are one of the 10 VIP customers chosen by us to make up the Panel, you will receive notification of this by 01/07/2016. 4. As a member of the Panel you will receive a minimum of 5 products (but no more than 10 products) for review during the period 01/07/16 to 30/04/17. The products (which we will select) will be sent at random to the address held on file by us or alternatively, such other address as we may agree with you. 5. You must truthfully and accurately complete and email to us the product review form [which we will have provided to you by email at the time of sending the product] no later than 21 days from the date you receive the product. 6. The products that we send to you are for your personal use and review only. Products cannot be exchanged, refunded or transferred. 7. Panel members will not be paid for any reviews but will be entitled to keep the products sent to them for review. 8. Completed product review forms (“Reviews”) will be used at our discretion. By sending us your Reviews you understand and agree that JD Williams will have the worldwide right to use and exploit the Reviews (including any intellectual property rights, such as design ideas, contained in the Reviews) in any way whatsoever, including for commercial and non-commercial purposes, without requiring further permission from you and without any payment to you. This applies even if we do not publish your Reviews. In particular, JD Williams may use, display, reproduce, publish, distribute, modify, adapt and/or translate your Reviews (including incorporating any design ideas into any future designs) indefinitely in any medium anywhere in the world, as we see fit. You also agree to waive any moral rights in your Reviews (including any rights to be identified as the creator/author) and to sign any documents reasonably requested by JD Williams to evidence agreement to the rights granted and waived by you under these Panel Terms. If you are not willing to grant and/or waive any of these rights, please do not submit the Panel application form. 9. The Reviews must be your own original work and must not have been copied (in whole or in part) from any other material nor previously published. Any Reviews that are plagiarised, copied, fraudulent or infringe upon existing rights of others will be withdrawn/disqualified. 10. JD Williams reserves the right, in its sole and absolute discretion, to remove without notice any Panel member: (i) that has failed to submit a Review within the required time frame; (ii) that has had his/her customer account restricted, suspended or terminated; (iii) who we reasonably believe has acted fraudulently, tampered with or attempted to disrupt or tamper with the operation of the Panel or acted in violation of the Panel Terms. 11. Panel members will be required to take part in or co-operate with any publicity (including photography) arranged by JD Williams. Refusal to do so will be considered a breach of the Panel Terms and will result in removal from the Panel. 12. If any provision of the Panel Terms is held to be invalid or unenforceable all remaining provisions will remain in full force and effect. 13. JD Williams reserve the right to amend, suspend or terminate the Panel and/or the Panel Terms at any given time and at its sole discretion. JD Williams will notify the Panel members of such matters by posting a notice to this effect in the VIP online area at www. jdwilliams.co.uk as soon as reasonably practicable. 14. The decision of JD Williams is final and no correspondence will be entered into. 15. These Panel Terms are governed by English law and subject to the exclusive jurisdiction of the English Courts. 16. All references to “we”, “us”, “our” or “JD Williams” are to JD Williams & Company Limited of Griffin House, 40 Lever Street, Manchester M60 6ES.

VIP CLUB STATUS TERMS & CONDITIONS

These terms and conditions (“Membership Terms”) apply to the VIP Club run by JD Williams & Company Limited of Griffin House, 40 Lever Street, Manchester M60 6ES (“JD Williams”). Membership of the VIP Club (which comprises two tiers, known as VIP and VIP Elite) is at the sole discretion of JD Williams. VIP customers and VIP Elite customers will be entitled to a number of perks (selected at the sole discretion of JD Williams), such as VIP mailings and newsletters, access to a VIP online area, VIP birthday treats, VIP free gifts and VIP competitions and offers, and in the case of VIP Elite customers only, VIP Elite exclusive delivery discounts, VIP Elite sale and new season previews and VIP Elite treats. Members must be UK residents aged 18 or over (excluding employees (and their immediate families) of JD Williams and N Brown Group plc, any of their group companies, their agents and anyone else professionally connected with the VIP Club) and hold one of the following customer accounts: (i) JD Williams; (ii) Ambrose Wilson; or (iii) Fifty Plus (“Qualifying Customer Account”). Use of a Qualifying Customer Account constitutes acceptance of these Membership Terms. A VIP Club membership year commences on 1 May of each year that JD Williams runs the VIP Club. Membership can commence on either 1 May or 1 November. Unless a VIP Club customer meets the relevant qualification spend criteria (detailed below) membership of the VIP Club will (regardless of the date that the membership starts) automatically cease on 30 April the following year. To qualify on 1 May in any VIP Club membership year as: (i) a VIP customer, a customer must have placed during the period 1 April to 31 March just ended (“Qualifying Period”) 5 or more orders on a single Qualifying Customer Account with a total value of between £400 and £649 (after returns) (“VIP Qualifying Spend Criteria”); or (ii) a VIP Elite customer, a customer must have placed during the Qualifying Period just ended 5 or more orders on a single Qualifying Customer Account with a total value of £650 or more (after returns) (“VIP Elite Qualifying Spend Criteria”). Any existing VIP Elite customer who has met the VIP Qualifying Spend Criteria (but not the VIP Elite Qualifying Spend Criteria) will instead qualify as a VIP customer. In November of each VIP Club year, non VIP customers will have the opportunity to join the VIP Club as either a VIP customer or a VIP Elite customer and existing VIP customers will have the opportunity to move up to VIP Elite status. To qualify on 1 November in any VIP Club year as: (i) a new VIP customer, a non VIP customer must have met the VIP Qualifying Spend Criteria during the first six months of the Qualifying Period in question; or (ii) a new VIP Elite customer, a customer (including a VIP customer) must have met the VIP Elite Qualifying Spend Criteria during the first six months of the Qualifying Period in question. Spend across multiple Qualifying Customer Accounts does not qualify and store purchases are excluded. Any VIP customer that has his/her customer account restricted, suspended or terminated may lose their VIP status. JD Williams reserve the right to amend, suspend or terminate the VIP Club and/or any of its benefits and/or the Membership Terms at any given time and at its sole discretion. JD Williams will notify VIP customers of such matters by posting a notice to this effect in the VIP online area as soon as reasonably practicable. These Membership Terms are governed by English law and subject to the exclusive jurisdiction of the English Courts.

TERMS AND CONDITIONS FOR 'IT'S ON US' MONTHLY TREATS

These terms and conditions (“Terms”) apply to the VIP Club monthly prize draws for the VIP Elite customers (“Prize Draws”). The Prize Draws will take place on the first working day of each month, with the first Prize Draw taking place on 1st June 2016. The Prize Draws are open to VIP Elite customers who are UK residents aged 18 or over (excluding employees (and their immediate families) of JD Williams and N Brown Group plc, any of their group companies, their agents and anyone else professionally connected with the Prize Draws). To be eligible for entry into a Prize Draw, you must purchase a product using one of the following customer accounts: (i) JD Williams VIP Elite; (ii) Ambrose Wilson VIP Elite; or (iii) Fifty Plus VIP Elite (“Qualifying Purchase”). Each Prize Draw will be made up of all Qualifying Purchases from the immediately preceding calendar month. All Qualifying Purchases will be automatically entered. Multiple entries are permitted but a VIP Elite customer can only be a winner once per Prize Draw. There will be 50 winners per Prize Draw, who will be selected at random by computer. Each winner will receive the cheapest product, which they purchased via a Qualifying Purchase in that month for free. A credit equal to the value of that cheapest product will be credited to the winner’s VIP Elite account within 6 weeks of the date of the Prize Draw. Delivery charges will not be refunded. Purchasing a product constitutes acceptance of these Terms. The winner of each Prize Draw will be notified by post within 14 days of the relevant Prize Draw at the address JD Williams holds on file for the VIP Elite customer account. If the winner fails to respond within 14 days of the date of the notification (alternatively, refuses to accept the prize) a new winner will be selected at random by computer. Details of the winners (first name and home town) will be made available upon receipt of a stamped address envelope marked for the attention of the Prize Draw Manager at Griffin House, 40 Lever Street, Manchester, M60 6ES. Prizes cannot be exchanged, refunded or transferred. No cash or cheque alternatives are available. The winners will be required to take part in or co-operate with any publicity (including photography) arranged by JD Williams. Refusal to do so will be considered a breach of the Terms and will result in the withdrawal of the prize. JD Williams will not be liable to any qualifying VIP Elite customer account holder or any third party if a Prize Draw cannot go ahead, is delayed or cancelled because of a legal or regulatory issue, a systems failure, the failure by any third party to perform services or for any cause beyond JD Williams reasonable control. JD Williams will not be liable for and accepts no responsibility for any entries or prizes lost, delayed, damaged, not received or incompletely received for whatever reason. JD Williams reserves the right, in its sole and absolute discretion, to disqualify without notice (a) any VIP Elite customer account holder who it reasonably believes has acted fraudulently, tampered with or attempted to disrupt or tamper with the operation of the Prize Draw or acted in violation of these Terms; and (b) entries which are not in accordance with these Terms. If any provision of these Terms is held to be invalid or unenforceable all remaining provisions will remain in dull force and effect. JD Williams reserves the right at any time and without prior notice to change these Terms and/or to withdraw, alter or suspend the Prize Draw for legal or technical reasons without any liability. JD Williams will notify withdrawal, alteration or suspension of the Prize Draw by posting a notice to that effect on www.jdwilliams.co.uk as soon as reasonably practicable.
